These Terms and Conditions ("Terms") constitute a legally binding agreement between Pusha ("Company," "we," "our," or "us") and you ("User," "Seller," or "you") governing your access to and use of the Company's platform, services, and related applications (collectively, the "Platform").
By registering, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Eligibility
The platform is available to SMEs, retailers, and individual sellers, who engage in legitimate commerce offline or through social media platforms. Users must be at least 18 years old.
2. Services Provided
The Platform enables Sellers to:
- Automate customer communication on social media platforms;
- Manage sales, inventory, and order fulfillment;
- Collect payments through assigned bank accounts or integrated payment channels;
- Access reporting, analytics, and related business tools.
3. User Responsibilities
You agree to:
- Provide accurate and complete information during registration;
- Use the Platform in compliance with applicable laws;
- Maintain confidentiality of login credentials;
- Be responsible for all activities conducted under your account.
4. Prohibited Activities
You are strictly prohibited from using the Platform to sell, promote, or facilitate the sale of:
- Adult content or sexually explicit material;
- Alcohol, drugs, or controlled substances;
- Weapons, counterfeit items, or fraudulent goods;
- Any product or service prohibited by Nigerian law or international trade restrictions.
Violation of this clause may result in immediate suspension, termination, and potential legal action.
5. Subscription and Fees
- The Platform operates on a subscription basis. Current subscription fees are ₦15,000 per month (subject to change with prior notice).
- Fees must be paid promptly to maintain access. Failure to pay may result in suspension of services.
- Additional transaction or service fees may apply, as communicated from time to time.
6. Payments and Settlements
- Payments collected on behalf of Sellers will be processed through licensed financial partners.
- Sellers are responsible for ensuring accuracy of bank details.
- The Company disclaims liability for delays or failures caused by third-party payment processors or financial institutions.
7. Limitation of Liability
The Company shall not be liable for:
- Indirect, incidental, or consequential damages;
- Losses arising from misuse of the Platform;
- Errors caused by third-party integrations (e.g., payment providers, social media platforms).
Our maximum liability shall not exceed the fees paid by you in the preceding three (3) months.
8. Termination
We reserve the right to suspend or terminate any account at our discretion, including for violation of these Terms, suspected fraud, or non-payment of fees.
9. Amendments
We may amend these Terms at any time by posting updated versions on the Platform. Continued use of the Platform constitutes acceptance of such amendments.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Disputes shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
